NDA and Non compete

Hi There,

I intend to disclose an idea to a company who could potentially develop it. I dont think I am able to get any patents or IP on my idea, however I do want to protect myself.

What is the best way to go about this?

Most of the NDAs has a clause that voids the contract in case there is a public disclosure already available and I am sure if someone does enough digging around, they will come across it.

Also, is there a way I could avoid the recepient from running ahead with the idea themselves by including a non-compete clause for a certain duration of time?

The Non-Disclosure Agreement I use prevents companies from distributing the information I provide to them, unless the information is available in the public domain. My idea is patent-pending, though. If your idea isn’t patentable, I’m not sure what kind of protection an NDA will offer you.
